Injunctive Relief

This Injunctive Relief provision applies to all engagements, service agreements, and terms of service entered into with M&I Investments Group, Inc.(“we,” “us,” or “our”).

1. Right to seek equitable relief

The parties acknowledge that certain breaches of this agreement may cause irreparable harm for which monetary damages would be inadequate. Each party therefore agrees that the other party shall be entitled to seek injunctive relief, specific performance, or other equitable remedies in any court of competent jurisdiction, in addition to any other remedies available at law or in equity.

2. Scope of injunctive relief

Either party may seek injunctive relief to prevent or stop:

  • Unauthorized use, disclosure, or dissemination of confidential information or trade secrets.
  • Breach of non-solicitation or non-competition obligations, where applicable.
  • Infringement, misappropriation, or dilution of intellectual property rights, trademarks, or proprietary materials.
  • Any action that would cause immediate and irreparable harm to reputation, goodwill, or business operations.

3. No waiver of other remedies

The right to seek injunctive relief is cumulative and not exclusive. A party’s pursuit of equitable relief does not limit its ability to seek damages, terminate the agreement, or exercise any other legal or contractual remedy.

4. Bond waiver

To the fullest extent permitted by applicable law, the party seeking injunctive relief is not required to post a bond or other security as a condition of obtaining such relief, unless a court of competent jurisdiction expressly mandates it.

5. Survival

This Injunctive Relief provision survives termination or expiration of any agreement between the parties and continues in full force for so long as the underlying obligations (confidentiality, IP protection, etc.) remain in effect.

6. Governing law and venue

Any action for injunctive relief shall be governed by the laws of the State of Delaware and may be brought in the state or federal courts located in Delaware, or in any other jurisdiction where the offending conduct occurs and where the court has personal jurisdiction.
